AliX365 Terms of Use

1. Acceptance of Terms

Welcome to AliX365, owned and operates by Parcel365 Sdn Bhd 201801027462 (1289488-T)  (“Company”, “we”, “our”, “us”). These Terms of Use ("Terms") govern your use of our platform AliX365, including any other media form, media channel, mobile website, or mobile application related or connected thereto (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, please do not use the Platform.

2. Eligibility

By using the Platform, you represent and warrant that you are at least 18 years old or the legal age of majority in your jurisdiction, and have the legal capacity to enter into these Terms. If you are using the Platform on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Account Registration

To use certain features of the Platform, you may be required to register for an account. You agree to:

• Provide true, accurate, current, and complete information during the registration process.
• Maintain and promptly update your account information to keep it true, accurate, current, and complete.
• Maintain the security of your password and accept all risks of unauthorized access to your account and the information you provide to us.
• Immediately notify us if you discover or suspect any security breaches related to the Platform or your account.

4. Use of the Platform

You agree to use the Platform in compliance with all applicable laws and regulations. You will not:

• Use the Platform for any unlawful purpose.
• Use the Platform to transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
• Use the Platform to impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Interfere with or disrupt the operation of the Platform or the servers or networks used to make the Platform available.
• Engage in any conduct that restricts or inhibits any other person from using or enjoying the Platform.

5. Intellectual Property

Unless otherwise indicated, the Platform and all content and other materials therein, including, without limitation, the AliX365 logo, and all designs, text, graphics, pictures, information, data, software, sound files, other files, and the selection and arrangement thereof (collectively, "Content") are the proprietary property of AliX365 or our licensors and are protected by Malaysian and international copyright laws.

6. User Content

You may be permitted to post, upload, publish, submit, or transmit relevant information and content ("User Content") on the Platform. By making available any User Content, you grant to AliX365 a non-exclusive, transferable, sublicensable, worldwide, royalty-free license to use, copy, modify, create derivative works based upon, distribute, publicly display, and publicly perform your User Content in connection with operating and providing the Platform.

You agree that you are solely responsible for your User Content. You represent and warrant that:

• You own all your User Content or have the right to grant the rights and licenses set forth in these Terms.
• Neither the User Content, nor your submission, uploading, publishing, or otherwise making available of such User Content, nor AliX365's use of the User Content as permitted herein will infringe, misappropriate, or violate a third party’s intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

7. Fees and Payment

Some services offered on the Platform may be subject to fees. You agree to pay all applicable fees and any taxes associated with your use of such services. We reserve the right to change our prices at any time. Any changes to our fee structure will be communicated to you prior to billing.

8. Termination

We may terminate or suspend your access to the Platform, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms. Upon termination, your right to use the Platform will immediately cease. If you wish to terminate your account, you may simply discontinue using the Platform or contact us.

9. Disclaimers

The Platform is provided on an "as is" and "as available" basis, and AliX365 expressly disclaims any and all warranties and conditions of any kind, whether express, implied, or statutory, including all warranties or conditions of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, or non-infringement. We make no warranty that the Platform will meet your requirements, be available on an uninterrupted, timely, secure, or error-free basis, or be accurate, reliable, complete, legal, or safe.

10. Limitation of Liability

To the maximum extent permitted by law, in no event shall AliX365 or our affiliates, directors, employees, or agents be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit damages arising from your use of the Platform, even if we have been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us for use of the Platform during the preceding twelve (12) months.

11. Indemnification

You agree to defend, indemnify, and hold harmless AliX365, our affiliates, and our respective directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform, including, but not limited to, your User Content, any use of the Platform's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Platform.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 7 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Platform after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Platform.

14. Miscellaneous

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and AliX365 regarding the use of the Platform and supersede all prior or contemporaneous written or oral agreements or understandings between you and us relating to such subject matter.
• Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect.
• Waiver: No waiver of any term of these Terms will be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms will not constitute a waiver of such right or provision.
• Assignment: These Terms and any rights and licenses granted hereunder may not be transferred or assigned by you without our prior written consent, but may be assigned by us without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.
